Terms of Service

Introduction

Welcome to VYSP.AI! These Terms of Service ("Terms") govern your use of the VYSP.AI platform ("Platform"), provided by VSY Design LLC ("Company," "we," "us," or "our"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Platform.

Eligibility

You must be at least 18 years old to use the Platform. By using the Platform, you represent and warrant that you meet this eligibility requirement. Use of the Platform

You are granted a limited, non-exclusive, non-transferable, and revocable license to use the Platform in accordance with these Terms. You agree to use the Platform only for lawful purposes and in compliance with all applicable laws and regulations.

Prohibited Use

You agree not to:

Use the Platform for any illegal or unauthorized purpose.
Modify, adapt, hack, or reverse engineer the Platform.
Use the Platform to transmit any malicious code or viruses.
Use the Platform to infringe on the intellectual property rights of others.
Use the Platform to harass, abuse, or harm another person. Harassment may include, but is not limited to, making unsolicited contact with other users, bullying, or posting defamatory statements.

To access certain features of the Platform, you may need to create an account. You agree to provide accurate and complete information during the registration process and to keep this information up-to-date.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

Intellectual Property

Ownership

All content, trademarks, service marks, logos, and other intellectual property displayed on the Platform are the property of the Company or its licensors. You are not granted any rights in or to such intellectual property except as expressly provided in these Terms.

User Content

By submitting content to the Platform, you grant the Company a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and distribute such content in connection with the operation of the Platform. While you retain all rights to the content you post on the Platform, by posting, you grant us a license to use it as described in these Terms.

Disclaimers and Limitation of Liability

Disclaimers

The Platform is provided on an "as is" and "as available" basis. The Company makes no warranties, express or implied, regarding the Platform, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing in these Terms shall exclude or limit liability for damages that may not be lawfully excluded or limited by applicable law.

Limitation of Liability

To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the Platform; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any bugs, viruses, trojan horses, or other similar issues transmitted to or through our Platform by any third party; (iv) any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available through the Platform; and/or (v) the defamatory, offensive, or illegal conduct of any third party.

Indemnification

You agree to indemnify, defend, and hold harmless the Company, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your access to or use of the Platform, but only for claims arising directly from your unlawful use of the Platform or your breach of these Terms.

Modifications to the Terms

We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting the updated Terms on the Platform. Your continued use of the Platform following the posting of changes constitutes your acceptance of such changes. We will provide at least 30 days' notice before any substantial changes to these Terms take effect.

Termination

We may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Platform will immediately cease.

Governing Law

These Terms shall be governed by and construed in accordance with the substantive laws of the State of New Jersey, USA, without regard to its conflict of law provisions.
